Terms & Conditions

1. Agreement

By accessing or using WaveZStation ("WaveZStation", "we", "us") you agree to these Terms & Conditions ("Terms"). If you do not agree, do not use the Service.

2. Eligibility and accounts

  • You must comply with applicable laws where you use the Service.
  • You are responsible for all activity associated with your account and connected wallet(s).
  • Wallet connections are facilitated by third parties; you are responsible for keeping your private keys and recovery methods secure.

3. The Service

The Service enables artists and rights-holders to publish music and enable streaming and/or downloads, and enables fans to contribute funds to a song’s fan pool and to purchase access.

4. Artist listings are irreversible after funding

Irrevocability after first contribution. Once any fan has contributed funds to a song’s fan pool (including any on-chain or off-chain deposit attributable to that pool), the artist (and any collaborator(s) or uploader(s)) may not remove the song, disable access, or otherwise take it down from the Service.

Purpose. This rule protects fans who funded a pool in reliance on continued availability.

Limited exceptions. WaveZStation may remove or restrict content to comply with law, respond to intellectual property claims, address security issues, or prevent fraud and abuse. Any exceptions or remediation steps are handled in WaveZStation’s sole discretion, and WaveZStation makes no guarantees as to refunds, recovery, or continued availability.

5. User content and intellectual property

Users may upload audio, artwork, text, and other content ("User Content"). You retain ownership of your User Content.

You are responsible for your uploads. You represent and warrant that you have all rights, licenses, consents, permissions, and authority needed to upload, publish, and monetize your User Content through the Service, including all composition, master, artwork, and name/likeness rights.

No responsibility for copyrighted works uploaded by others.WaveZStation does not verify ownership of User Content and is not responsible for User Content uploaded by users. If you believe your rights are infringed, please see the notice-and-takedown process below.

6. License you grant to WaveZStation

You grant WaveZStation a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, distribute, publicly perform, publicly display, stream, and otherwise make your User Content available through the Service, including for the purpose of enabling user purchases, fan pool participation, and any technical processing required to provide the Service.

7. Purchases, streaming, and downloads

  • Purchases may provide access to stream and/or download content as described at the time of purchase. Access may be mediated by third-party services and may require compatible devices/software.
  • Except where explicitly stated, purchases do not transfer ownership of copyrights or masters; they provide a limited, personal, non-transferable license to access the content for personal, non-commercial use.
  • You may not redistribute, resell, publicly perform (outside normal playback), or exploit content except as expressly permitted.

8. Fees and split mechanics

Split percentages, platform fees, and payout mechanics may be displayed in-product and may be implemented via smart contracts or other systems. You acknowledge that blockchain transactions are irreversible and that network fees (gas) may apply.

9. Prohibited conduct

  • Upload content you do not have rights to distribute.
  • Use the Service to violate any law or third-party rights.
  • Attempt to bypass access controls, reverse engineer, or interfere with the Service.
  • Engage in fraud, manipulation, or abusive behavior (including wash trading or self-dealing, if applicable).

10. Notice-and-takedown (copyright)

If you believe content on the Service infringes your copyright, send a notice by DM to @wavezstation on X (Twitter) that includes: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material and its location; (c) your contact information; (d) a statement of good-faith belief; (e) a statement under penalty of perjury that the information is accurate and you are the rights owner or authorized agent; and (f) a physical or electronic signature.

We may remove or disable access to content in response to notices and may terminate repeat infringers where appropriate.

11. Termination

We may suspend or terminate access to the Service at any time if we believe you violated these Terms or to protect the Service, users, or third parties. Sections intended to survive (including IP, disclaimers, limitation of liability, and dispute terms) will survive termination.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. WAVEZSTATION DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WAVEZSTATION DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAVEZSTATION WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAVEZSTATION’S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS PAID TO WAVEZSTATION BY YOU (IF ANY) FOR USE OF THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless WaveZStation and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any third-party rights.

15. Governing law; disputes

Governing law and dispute resolution depend on your company’s jurisdiction. Add your venue, arbitration/class action waiver, and consumer disclosures as required.

16. Privacy

Your use of the Service is also subject to our Privacy Policy.
